EUROOPAN NEUVOSTON YLEISSOPIMUS ELOKUVIEN YHTEISTUOTANNOSTA (UUDISTETTU) Johdanto-osa Tämän yleissopimuksen allekirjoittaneet Euroopan neuvoston jäsenvaltiot ja muut Euroopan kulttuuriyleissopimuksen (ETS nro 18) osapuolina olevat valtiot, jotka katsovat, että Euroopan neuvoston päämääränä on luoda läheisempi yhteys sen jäsenvaltioiden välille erityisesti sellaisten ihanteiden ja periaatteiden turvaamiseksi ja edistämiseksi, jotka ovat niiden yhteistä perintöä, katsovat, että luomisen vapaus ja sananvapaus ovat näiden periaatteiden olennaisia osatekijöitä, katsovat, että Euroopan eri maiden kulttuurisen moninaisuuden edistäminen on yksi Euroopan kulttuuriyleissopimuksen päämääristä, ottavat huomioon Pariisissa 20 päivänä lokakuuta 2005 tehdyn Unescon yleissopimuksen kulttuuri-ilmaisujen moninaisuuden suojelemisesta ja edistämisestä, jolla tunnustetaan, että kulttuurinen moninaisuus on ihmiskunnalle ominainen piirre, ja pyritään vahvistamaan kulttuuri-ilmaisujen luomista, tuottamista, levitystä, jakelua ja käyttöä, katsovat, että elokuvien yhteistuotantoa, joka on kulttuurisen moninaisuuden maailmanlaajuisen luomisen ja ilmaisemisen väline, tulisi vahvistaa, ovat tietoisia siitä, että elokuva on tärkeä kulttuuri- ja taideilmaisun keino, jolla on keskeinen tehtävä sananvapauden, moninaisuuden ja luovuuden sekä demokraattisen kansalaisuuden ylläpitämisessä, ovat päättäneet kehittää näitä periaatteita ja palauttavat mieliin ministerikomitean jäsenvaltioille antamat suositukset elokuvasta ja audiovisuaalisesta alasta sekä erityisesti suosituksen Rec(86)3 audiovisuaalisen tuotannon edistämisestä Euroopassa ja suosituksen CM/Rec(2009)7 kansallisesta elokuvapolitiikasta ja kulttuuri-ilmaisujen moninaisuudesta, ovat tietoisia siitä, että päätöslauselmaa Res(88)15, jolla perustettiin eurooppalainen rahasto luovien elokuva- ja audiovisuaalisten teosten yhteistuotannon ja jakelun tukemiseksi, ”Eurimages”, on muutettu siten, että se mahdollistaa myös muiden kuin Euroopan neuvoston jäsenvaltioiden liittymisen rahastoon, ovat päättäneet saavuttaa nämä tavoitteet yhteisillä toimilla yhteistyön edistämiseksi ja määrittää säännöt, jotka soveltuvat kaikkeen elokuvien yhteistuotantoon, katsovat, että yhteisten sääntöjen hyväksyminen on omiaan vähentämään rajoituksia ja kannustamaan yhteistyöhön elokuvien yhteistuotannon alalla, ottavat huomioon sen, miten elokuvateollisuuden tekniikka, talous ja rahoitus ovat kehittyneet sen jälkeen, kun eurooppalainen yleissopimus elokuvien yhteistuotannosta (ETS nro 147) avattiin allekirjoittamista varten vuonna 1992, uskovat tämän kehityksen edellyttävän vuoden 1992 yleissopimuksen uudistamista, jotta tulevaisuudessakin pystytään varmistamaan, että tämä elokuvien yhteistuotannon kehys on asianmukainen ja tehokas, ovat tietoisia siitä, että tämän yleissopimuksen tarkoituksena on korvata eurooppalainen yleissopimus elokuvien yhteistuotannosta, ovat sopineet seuraavasta: 1 luku Yleiset määräykset 1 artikla Yleissopimuksen tavoite Tämän yleissopimuksen osapuolet sitoutuvat edistämään elokuvien kansainvälisen yhteistuotannon kehitystä seuraavien määräysten mukaisesti. 2 artikla Soveltamisala 1. Tällä yleissopimuksella säännellään osapuolten välisiä suhteita osapuolten alueelta peräisin olevien monenvälisten yhteistuotantojen alalla. 2. Tätä yleissopimusta sovelletaan a) yhteistuotantoihin, joihin osallistuu vähintään kolme yhteistuottajaa, jotka ovat sijoittautuneet yleissopimuksen kolmen eri osapuolen alueelle, ja b) yhteistuotantoihin, joihin osallistuu vähintään kolme yhteistuottajaa, jotka ovat sijoittautuneet yleissopimuksen kolmen eri osapuolen alueelle, sekä yksi tai useampi tällaisten osapuolten alueelle sijoittautumaton yhteistuottaja. Yleissopimuksen osapuolten alueelle sijoittautumattomien yhteistuottajien rahoitusosuuden kokonaismäärä ei kuitenkaan voi olla yli 30 prosenttia tuotannon kokonaiskustannuksista. Joka tapauksessa tätä yleissopimusta sovelletaan ainoastaan sillä edellytyksellä, että teos vastaa jäljempänä 3 artiklan c alakohdassa määriteltyä virallisesti yhteistuotetun elokuvateoksen määritelmää. 3. Tämän yleissopimuksen osapuolten välillä tehtyjen kahdenvälisten sopimusten määräyksiä sovelletaan edelleen kahdenvälisiin yhteistuotantoihin. Monenvälisten yhteistuotantojen osalta tämän yleissopimuksen määräykset syrjäyttävät yleissopimuksen osapuolten välillä tehtyjen kahdenvälisten sopimusten määräykset. Kahdenvälisiä yhteistuotantoja koskevat määräykset jäävät voimaan, jos ne eivät ole ristiriidassa tämän yleissopimuksen määräysten kanssa. 4. Jos kahden tämän yleissopimuksen osapuolen välisistä kahdenvälisistä yhteistuotantosuhteista ei ole tehty mitään sopimusta, tätä yleissopimusta sovelletaan myös kahdenvälisiin yhteistuotantoihin, jollei jompikumpi osapuoli ole tehnyt varaumaa 22 artiklan mukaisesti. 3 artikla Määritelmät Tässä yleissopimuksessa a) "elokuvateos" tarkoittaa minkä tahansa pituista tai mille tahansa välineelle tallennettua teosta, erityisesti sepitteellistä elokuvaa, animaatioelokuvaa ja dokumenttia, joka on kunkin asianomaisen osapuolen voimassa olevien elokuvateollisuutta sääntelevien määräysten mukainen ja tarkoitettu esitettäväksi elokuvateattereissa, b) "yhteistuottajat" tarkoittaa tämän yleissopimuksen osapuolten alueelle sijoittautuneita elokuvatuotantoyrityksiä tai tuottajia, joita sitoo yhteistuotantosopimus, c) "virallisesti yhteistuotettu elokuvateos” (jäljempänä ”elokuva”) tarkoittaa elokuvateosta, joka täyttää tämän yleissopimuksen erottamattomana osana olevassa liitteessä II määrätyt edellytykset, d) "monenvälinen yhteistuotanto" tarkoittaa vähintään kolmen 2 artiklan 2 kohdassa määritellyn yhteistuottajan tuottamaa elokuvateosta. II luku Yhteistuotantoihin sovellettavat säännöt 4 artikla Rinnastaminen kansallisiin elokuviin 1.Elokuvateokset, jotka on tehty monenvälisinä yhteistuotantoina ja jotka kuuluvat tämän yleissopimuksen soveltamisalaan, ovat oikeutettuja samoihin etuuksiin, jotka myönnetään kansallisille elokuville kunkin kyseiseen yhteistuotantoon osallistuvan tämän yleissopimuksen sopimusvaltion voimassa olevien säännösten ja määräysten mukaan. 2. Etuudet myöntää kullekin yhteistuottajalle se osapuoli, jonka alueelle yhteistuottaja on sijoittautunut, kyseisen osapuolen voimassa olevissa säännöksissä ja määräyksissä asetettujen edellytysten ja rajoitusten mukaisesti sekä tämän yleissopimuksen määräysten mukaisesti. 5 artikla Yhteistuotantoaseman saamisen edellytykset 1. Kaikille elokuvateosten yhteistuotannoille on saatava hyväksyntä niiden osapuolten toimivaltaisilta viranomaisilta, joiden alueelle yhteistuottajat ovat sijoittautuneet, toimivaltaisten viranomaisten neuvoteltua keskenään, ja liitteessä I määrättyjen menettelyjen mukaisesti. Tämä liite muodostaa tämän yleissopimuksen erottamattoman osan. 2. Yhteistuotantoasemaa koskevat hakemukset jätetään toimivaltaisten viranomaisten hyväksyttäväksi liitteessä I määrätyn hakemusmenettelyn mukaisesti. Hyväksyntä on lopullinen lukuun ottamatta tapauksia, joissa ei ole noudatettu taiteellisia, rahoituksellisia ja teknisiä seikkoja koskevia alkusitoumuksia. 3. Yhteistuotantoasemaa ei voida myöntää ilmeisen pornografisille hankkeille tai hankkeille, jotka kannattavat syrjintää, vihaa tai väkivaltaa tai loukkaavat avoimesti ihmisarvoa. 4. Yhteistuotantoaseman tuomat etuudet myönnetään yhteistuottajille, joilla katsotaan olevan riittävät tekniset ja rahoitukselliset voimavarat ja riittävä ammattipätevyys. 5. Kukin sopimusvaltio nimeää edellä 2 kohdassa tarkoitetut toimivaltaiset viranomaiset allekirjoittamisen ajankohtana tai ratifioimis-, hyväksymis- tai liittymiskirjansa tallettamisen ajankohtana annettavalla selityksellä. Tätä selitystä voidaan muuttaa myöhemmin milloin tahansa. 6 artikla Kunkin yhteistuottajan rahoitusosuuksien suhteet 1. Monenvälisessä yhteistuotannossa pienin rahoitusosuus ei voi olla alle 5 prosenttia eikä suurin rahoitusosuus yli 80 prosenttia elokuvateoksen kokonaistuotantokustannuksista. Jos pienin rahoitusosuus on alle 20 prosenttia tai yhteistuotanto on pelkästään rahoituksellinen, kyseinen osapuoli voi ryhtyä toimiin kansallisten tuotantotukijärjestelyjen käyttömahdollisuuksien vähentämiseksi tai estämiseksi. 2. Jos tämä yleissopimus syrjäyttää kahden osapuolen välisen kahdenvälisen sopimuksen 2 artiklan 4 kohdan määräysten mukaisesti, pienin rahoitusosuus ei voi olla alle 10 prosenttia eikä suurin rahoitusosuus voi olla yli 90 prosenttia elokuvateoksen kokonaistuotantokustannuksista. Jos pienin rahoitusosuus on alle 20 prosenttia tai yhteistuotanto on pelkästään rahoituksellinen, kyseinen osapuoli voi ryhtyä toimiin kansallisten tuotantotukijärjestelyjen käyttömahdollisuuksien vähentämiseksi tai estämiseksi. 7 artikla Elokuvateoksen yhteistuottajien oikeudet 1. Yhteistuotantosopimuksen on taattava jokaiselle yhteistuottajalle elokuvaan liittyvien aineellisten ja aineettomien oikeuksien yhteinen omistus. Sopimuksen on sisällettävä määräys, jonka mukaan elokuvan alkuperäiskappaletta (ensimmäistä valmista toisintoa) säilytetään yhteistuottajien keskenään sopimassa paikassa, ja sopimuksella on taattava yhteistuottajille vapaa pääsy alkuperäiskappaleeseen. 2. Yhteistuotantosopimuksen on myös taattava jokaiselle yhteistuottajalle oikeus saada käyttöönsä sellainen aineisto ja elokuvan alkuperäiskappale, jotka mahdollistavat elokuvan monistamisen. 8 artikla Tekninen ja taiteellinen osallistuminen 1. Kunkin yhteistuottajan panokseen on sisällyttävä tosiasiallista teknistä ja taiteellista osallistumista. Luovaan, tekniseen ja taiteelliseen henkilökuntaan sekä osajakoon ja laitteisiin liittyvän yhteistuottajien panoksen on periaatteessa ja osapuolia sitovien kansainvälisten velvoitteiden mukaisesti vastattava niiden sijoitusta. 2. Jollei osapuolia sitovista kansainvälisistä velvoitteista ja käsikirjoituksen vaatimuksista muuta johdu, teoksen kuvaamiseen osallistuvan työryhmän on koostuttava yhteistuotantoon kumppaneina osallistuvien valtioiden kansalaisista, ja jälkituotanto on tavallisesti suoritettava kyseisissä valtioissa. 9 artikla Rahoitusta koskevat yhteistuotannot 1. Edellä olevan 8 artiklan määräysten estämättä, ja jollei osapuolten voimassa olevissa säädöksissä ja määräyksissä asetetuista erityisedellytyksistä ja rajoituksista muuta johdu, yhteistuotannoille voidaan myöntää tämän yleissopimuksen määräysten mukainen yhteistuotantoasema, jos ne täyttävät seuraavat edellytykset: a) ne sisältävät yhden tai useamman vähemmistöosuuden, joka voi rajoittua koskemaan pelkästään rahoitusta, yhteistuotantosopimuksen mukaisesti, edellyttäen, että mikään kansallinen osuus ei ole alle 10 prosenttia eikä yli 25 prosenttia tuotantokustannuksista, b) ne sisältävät enemmistöyhteistuottajan, joka antaa tosiasiallisen teknisen ja taiteellisen panoksen ja täyttää ne edellytykset, joilla elokuvateos tunnustetaan kansalliseksi teokseksi enemmistöyhteistuottajan valtiossa, c) ne auttavat edistämään kulttuurista moninaisuutta ja kulttuurienvälistä vuoropuhelua, ja d) niistä sovitaan yhteistuotantosopimuksilla, joissa on määräykset tulojen jakamisesta. 2. Rahoitusta koskevat yhteistuotannot saavat yhteistuotantoaseman vasta, kun toimivaltaiset viranomaiset ovat antaneet siihen tapauskohtaisen hyväksyntänsä, ottaen erityisesti huomioon 10 artiklan määräykset. 10 artikla Yleinen tasapaino 1. Osapuolten välisissä elokuvasuhteissa on säilytettävä yleinen tasapaino sekä elokuvateosten yhteistuotantoon sijoitetun rahoituksen kokonaismäärien että taiteellisen ja teknisen osallistumisen suhteen. 2. Osapuoli, joka kohtuullisen ajan kuluessa havaitsee vajauksen yhteistuotantosuhteissaan yhteen tai useampaan toiseen osapuoleen, voi kieltäytyä antamasta suostumustaan tulevaan yhteistuotantoon, kunnes sen elokuvasuhteet kyseiseen yhteen tai useampaan osapuoleen on palautettu tasapainoon. 11 artikla Maahanpääsy ja maassa oleskelu Voimassa olevien säädösten ja määräysten sekä kansainvälisten velvoitteiden mukaisesti kukin osapuoli helpottaa yhteistuotantoon osallistuvien muiden osapuolten teknisen ja taiteellisen henkilökunnan pääsyä sen alueelle sekä oleskelua ja työlupien myöntämistä siellä. Samoin kukin osapuoli sallii tämän yleissopimuksen soveltamisalaan kuuluvien elokuvateosten tuotannossa ja jakelussa tarvittavan laitteiston tilapäisen maahantuonnin ja jälleenviennin. 12 artikla Yhteistuotantoon osallistuvien maiden mainitseminen 1. Yhteistuotantoon osallistuvat valtiot on mainittava yhteistuotetuissa elokuvateoksissa. 2. Näiden maiden nimet on mainittava selvästi alku- tai lopputeksteissä, kaikissa mainoksissa ja myynninedistämismateriaalissa sekä esitettäessä elokuvateoksia. 13 artikla Vienti Jos yhteistuotettu elokuvateos viedään valtioon, jossa elokuvateosten maahantuonnille on määrätty kiintiöt, ja jos jollakulla yhteistuotantoon osallistuvista osapuolista ei ole oikeutta elokuvateostensa vapaaseen pääsyyn maahantuovaan valtioon, a) elokuvateos lisätään tavallisesti sen valtion kiintiöön, joka osallistuu suurimmalla osuudella, b) sellainen elokuvateos, jossa eri maiden osuudet ovat yhtä suuret, lisätään sen valtion kiintiöön, jolla on parhaat vientimahdollisuudet maahantuovaan valtioon, c) jos a ja b alakohdan määräyksiä ei voida soveltaa, elokuvateos lisätään sen osapuolen kiintiöön, josta ohjaaja on peräisin. 14 artikla Kielet Myöntäessään yhteistuotantoaseman osapuolen toimivaltainen viranomainen voi vaatia sen alueelle sijoittautuneelta yhteistuottajalta elokuvateoksen lopullisen version jollakin kyseisen osapuolen kielellä. 15 artikla Elokuvajuhlat Jolleivat yhteistuottajat toisin päätä, yhteistuotetut elokuvateokset esittää kansainvälisillä elokuvajuhlilla se osapuoli, jonka alueelle suurin yhteistuottaja on sijoittautunut, tai jos kaikkien rahoitusosuus on samansuuruinen, se osapuoli, josta ohjaaja on peräisin. III luku Loppumääräykset 16 artikla Yleissopimuksen vaikutukset 1. Tämä yleissopimus korvaa sen osapuolten osalta eurooppalaisen yleissopimuksen elokuvien yhteistuotannosta, joka avattiin allekirjoittamista varten 2 päivänä lokakuuta 1992. 2. Suhteissa tämän yleissopimuksen osapuolen ja sellaisen vuoden 1992 yleissopimuksen sopimuspuolen välillä, joka ei ole ratifioinut tätä yleissopimusta, sovelletaan edelleen vuoden 1992 yleissopimusta. 17 artikla Yleissopimuksen seuranta ja liitteiden I ja II muuttaminen 1. Tämän yleissopimuksen seurannasta vastaa luovien elokuva- ja audiovisuaalisten teosten yhteistuotannon ja jakelun tukemiseksi perustetun eurooppalaisen rahaston ”Eurimagesin” johtokunta. 2. Tämän yleissopimuksen osapuoli, joka ei ole ”Eurimagesin” jäsen, voi olla edustettuna ja sillä voi olla yksi ääni ”Eurimagesin” johtokunnassa, kun johtokunta suorittaa sille tällä yleissopimuksella määrättyjä tehtäviä. 3. Edistääkseen yleissopimuksen tehokasta soveltamista ”Eurimagesin” johtokunta voi a) tehdä ehdotuksia helpottaakseen kokemusten ja hyvien käytäntöjen vaihtoa osapuolten kesken; b) muodostaa mielipiteensä tämän yleissopimuksen soveltamista ja täytäntöönpanoa koskevista kysymyksistä ja antaa osapuolille tätä koskevia erityisiä suosituksia. 4. Tämän yleissopimuksen liitteiden I ja II määräysten ajantasaistamiseksi, jotta varmistettaisiin niiden jatkuva asianmukaisuus elokuvateollisuuden yleisten käytäntöjen kannalta, osapuoli, ministerikomitea tai luovien elokuva- ja audiovisuaalisten teosten yhteistuotannon ja jakelun tukemiseksi perustetun eurooppalaisen rahaston ”Eurimagesin” johtokunta voi ehdottaa liitteiden muuttamista. Euroopan neuvoston pääsihteeri antaa ehdotetut muutokset tiedoksi osapuolille. 5. Kuultuaan osapuolia ministerikomitea voi hyväksyä 4 kohdan mukaisesti ehdotetun muutoksen Euroopan neuvoston perussäännön 20 artiklan d kappaleessa määrätyllä enemmistöllä. Muutos tulee voimaan vuoden kuluttua päivästä, jona se on annettu tiedoksi osapuolille. Kyseisen vuoden kuluessa osapuoli voi ilmoittaa pääsihteerille vastustavansa muutoksen voimaantuloa osaltaan. 6. Jos yksi kolmasosa osapuolista ilmoittaa Euroopan neuvoston pääsihteerille vastustavansa muutoksen voimaantuloa, muutos ei tule voimaan. 7. Jos vähemmän kuin yksi kolmasosa osapuolista ilmoittaa vastustavansa muutosta, muutos tulee voimaan niiden osapuolten osalta, jotka eivät ole ilmoittaneet vastustavansa sitä. 8. Kun muutos on tullut voimaan tämän artiklan 5 ja 7 kohdan mukaisesti ja osapuoli on ilmoittanut vastustavansa sitä, muutos tulee voimaan kyseisen osapuolen osalta seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun osapuoli on ilmoittanut Euroopan neuvoston pääsihteerille hyväksyvänsä muutoksen. Osapuoli, joka on ilmoittanut vastustuksesta, voi milloin tahansa peruuttaa vastustuksen ilmoittamalla asiasta Euroopan neuvoston pääsihteerille. 9. Jos ministerikomitea hyväksyy muutoksen, valtio tai Euroopan unioni ei saa ilmaista suostumustaan tulla yleissopimuksen sitomaksi hyväksymättä samalla kyseistä muutosta. 18 artikla Allekirjoittaminen, ratifiointi ja hyväksyminen 1. Tämä yleissopimus on avoinna allekirjoittamista varten Euroopan neuvoston jäsenvaltioille ja muille Euroopan kulttuuriyleissopimuksen osapuolina oleville valtioille, jotka voivat ilmaista suostumuksensa tulla tämän yleissopimuksen sitomaksi joko a) allekirjoittamalla yleissopimuksen ilman ratifioimis- tai hyväksymisvaraumaa; tai b) allekirjoittamalla yleissopimuksen ratifioimis- tai hyväksymisvaraumin ja sen jälkeen ratifioimalla tai hyväksymällä sen. 2. Ratifioimis- tai hyväksymiskirjat talletetaan Euroopan neuvoston pääsihteerin huostaan. 19 artikla Voimaantulo 1. Tämä yleissopimus tulee voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kolme kuukautta päivästä, jona kolme valtiota, joista vähintään kaksi on Euroopan neuvoston jäsenvaltioita, on 18 artiklan mukaisesti ilmaissut suostumuksensa tulla yleissopimuksen sitomaksi. 2. Sellaisen allekirjoittajavaltion osalta, joka myöhemmin ilmaisee suostumuksensa tulla yleissopimuksen sitomaksi, yleissopimus tulee voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kolme kuukautta allekirjoituspäivästä tai päivästä, jona ratifioimis- tai hyväksymiskirja on talletettu. 20 artikla Muiden kuin jäsenvaltioiden liittyminen 1. Tämän yleissopimuksen tultua voimaan Euroopan neuvoston ministerikomitea voi osapuolia kuultuaan kutsua liittymään yleissopimukseen minkä tahansa Euroopan neuvoston ulkopuolisen valtion sekä Euroopan unionin, päättämällä asiasta Euroopan neuvoston perussäännön 20 artiklan d kappaleessa määrätyllä enemmistöllä ja niiden sopimusvaltioiden edustajien yksimielisellä äänestyspäätöksellä, joilla on oikeus osallistua ministerikomitean istuntoihin. 2. Valtion tai Euroopan unionin liittyessä yleissopimukseen yleissopimus tulee sen osalta voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kolme kuukautta päivästä, jona liittymiskirja on talletettu Euroopan neuvoston pääsihteerin huostaan. 21 artikla Alueellista soveltamista koskeva määräys 1. Valtio voi tämän yleissopimuksen allekirjoittaessaan tai ratifioimis-, hyväksymis- tai liittymiskirjan tallettaessaan nimetä alueen tai alueet, joihin tätä yleissopimusta sovelletaan. 2. Osapuoli voi milloin tahansa myöhemmin Euroopan neuvoston pääsihteerille osoitetulla selityksellä ulottaa tämän yleissopimuksen soveltamisen muuhun, selityksessä nimettyyn alueeseen. Tällaisen alueen osalta yleissopimus tulee voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kolme kuukautta päivästä, jona pääsihteeri on vastaanottanut selityksen. 3. Kahden edellisen kohdan mukaisesti annettu selitys voidaan siinä nimetyn alueen osalta peruuttaa pääsihteerille osoitetulla ilmoituksella. Peruutus tulee voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kolme kuukautta päivästä, jona pääsihteeri on vastaanottanut ilmoituksen. 22 artikla Varaumat 1. Valtio voi tämän yleissopimuksen allekirjoittaessaan tai ratifioimis-, hyväksymis- tai liittymiskirjan tallettaessaan antaa selityksen, jonka mukaan 2 artiklan 4 kohtaa ei sovelleta sen kahdenvälisiin yhteistuotantosuhteisiin yhden tai useamman osapuolen kanssa. Lisäksi se voi pidättää itsellään oikeuden vahvistaa sellaisen suurimman osallistumisosuuden, joka poikkeaa 9 artiklan 1 kohdan a alakohdassa määrätystä. Muita varaumia ei sallita. 2. Osapuoli, joka on tehnyt varauman edellisen kohdan mukaisesti, voi kokonaan tai osaksi peruuttaa sen Euroopan neuvoston pääsihteerille osoitetulla ilmoituksella. Peruutus tulee voimaan päivänä, jona pääsihteeri on vastaanottanut ilmoituksen. 23 artikla Irtisanominen 1. Osapuoli voi milloin tahansa irtisanoa tämän yleissopimuksen Euroopan neuvoston pääsihteerille osoitetulla ilmoituksella. 2. Irtisanominen tulee voimaan seuraavan kuukauden ensimmäisenä päivänä sen jälkeen, kun on kulunut kuusi kuukautta päivästä, jona pääsihteeri on vastaanottanut ilmoituksen. 24 artikla Ilmoitukset Euroopan neuvoston pääsihteeri ilmoittaa Euroopan neuvoston jäsenvaltioille sekä Euroopan unionille ja jokaiselle valtiolle, joka on liittynyt tai kutsuttu liittymään tähän yleissopimukseen, a) allekirjoittamisista; b) ratifioimis-, hyväksymis- ja liittymiskirjojen tallettamisista; c) tämän yleissopimuksen 19, 20 ja 21 artiklan mukaisista voimaantulopäivistä; d) 22 artiklan mukaisesti tehdyistä varaumista ja varaumien peruttamisista; e) 5 artiklan 5 kohdan mukaisista selityksistä; f) 23 artiklan mukaisesti ilmoitetuista irtisanomisista; g) muista tähän yleissopimukseen liittyvistä toimista, ilmoituksista tai tiedonannoista. Tämän vakuudeksi allekirjoittaneet, siihen asianmukaisesti valtuutettuina, ovat allekirjoittaneet tämän yleissopimuksen. Tehty Rotterdamissa 30 päivänä tammikuuta 2017 yhtenä englannin- ja ranskankielisenä kappaleena, jonka molemmat tekstit ovat yhtä todistusvoimaiset ja joka talletetaan Euroopan neuvoston arkistoon. Euroopan neuvoston pääsihteeri toimittaa oikeaksi todistetut jäljennökset 18 artiklan 1 kohdassa mainituille valtioille sekä Euroopan unionille ja jokaiselle valtiolle, joka on kutsuttu liittymään tähän yleissopimukseen. Liite I – Hakumenettely Saadakseen etua tämän yleissopimuksen määräyksistä osapuolten alueelle sijoittautuneiden yhteistuottajien on oikea-aikaisesti ennen pääasiallisen kuvauksen tai animoinnin alkua jätettävä väliaikaista yhteistuotantoasemaa koskeva hakemus ja liitettävä siihen jäljempänä luetellut asiakirjat. Toimivaltaisten viranomaisten on saatava näitä asiakirjoja riittävä määrä, jotta ne voidaan toimittaa tiedoksi muiden osapuolten viranomaisille viimeistään kuukautta ennen kuvauksen alkua: - selvitys tekijöiden oikeuksien tilanteesta; - elokuvan juoniseloste; - alustava luettelo kunkin osallistuvan valtion teknisestä ja taiteellisesta panoksesta; - talousarvio ja alustava rahoitussuunnitelma; - alustava tuotantosuunnitelma; - yhteistuottajien välinen yhteistuotantosopimus tai lyhytmuotoinen sopimus (deal memo). Tämän asiakirjan on sisällettävä määräykset tulojen tai alueiden jakamisesta yhteistuottajien kesken. Lopullinen yhteistuotantoasema myönnetään, kun elokuva valmistuu ja kun kansalliset viranomaiset ovat käsitelleet seuraavat lopulliset tuotantoasiakirjat: - täydellinen omistusoikeuksien siirron ketju; - lopullinen käsikirjoitus; - lopullinen luettelo kunkin osallistuvan valtion teknisestä ja taiteellisesta panoksesta; - lopullinen kustannusraportti; - lopullinen rahoitussuunnitelma; - yhteistuottajien välinen yhteistuotantosopimus. Tähän sopimukseen on sisällyttävä määräykset tulojen tai alueiden jakamisesta yhteistuottajien kesken. Kansalliset viranomaiset voivat pyytää myös muita asiakirjoja, jotka tarvitaan hakemuksen arvioimiseksi kansallisen lainsäädännön mukaisesti. Hakemus ja muut asiakirjat esitetään mahdollisuuksien mukaan niiden toimivaltaisten viranomaisten kielellä, joille ne toimitetaan. Toimivaltaiset kansalliset viranomaiset lähettävät hakemuksen ja siihen liitetyt asiakirjat toisilleen heti ne saatuaan. Pienimmällä rahoitusosuudella osallistuvan osapuolen toimivaltainen viranomainen ei anna suostumustaan ennen kuin on saatu suurimmalla rahoitusosuudella osallistuvan osapuolen mielipide. Liite II – Edellytykset täyttävän elokuvateoksen määritelmä 1. Sepitteellinen elokuvateos täyttää 3 artiklan c alakohdassa tarkoitetun virallisen yhteistuotannon edellytykset, jos se saa yleissopimuksen osapuolilta peräisin olevien osatekijöiden suhteen vähintään 16 pistettä mahdollisesta 21 pisteen kokonaismäärästä jäljempänä olevan osatekijöiden luettelon mukaan. 2. Yhteistuotannon ominaisuudet huomioon ottaen toimivaltaiset viranomaiset voivat keskenään neuvoteltuaan myöntää yhteistuotantoaseman teokselle, joka saa vähemmän pisteitä kuin tavallisesti vaadittavat 16 pistettä. | COUNCIL OF EUROPE CONVENTION ON CINEMATOGRAPHIC CO-PRODUCTION (REVISED) Preamble The member States of the Council of Europe and the other States Parties to the European Cultural Convention (ETS No. 18), signatory hereto, Considering that the aim of the Council of Europe is to achieve greater unity between its members in order, in particular, to safeguard and promote the ideals and principles which form their common heritage; Considering that freedom of creation and freedom of expression constitute fundamental elements of these principles; Considering that fostering the cultural diversity of the various European countries is one of the aims of the European Cultural Convention; Having regard to the UNESCO Convention on the Protection and Promotion of the Diversity of Cultural Expressions (Paris, 20 October 2005), which recognises cultural diversity as a defining characteristic of humanity and strives to strengthen the creation, production, dissemination, distribution and enjoyment of cultural expressions; Considering that cinematographic co-production, an instrument of creation and expression of cultural diversity on a global scale, should be reinforced; Aware that film is an important means of cultural and artistic expression with an essential role in upholding the freedom of expression, diversity and creativity, as well as democratic citizenship; Determined to develop these principles and recalling the recommendations of the Committee of Ministers to member States on the cinema and the audiovisual field, and particularly Recommendation Rec(86)3 on the promotion of audiovisual production in Europe and Recommendation CM/Rec(2009)7 on national film policies and the diversity of cultural expressions; Acknowledging that Resolution Res(88)15 setting up a European Support Fund for the Coproduction and Distribution of Creative Cinematographic and Audiovisual Works “Eurimages” has been amended to allow the accession of non-member States; Resolved to achieve these objectives thanks to a common effort to foster co-operation and define rules which adapt themselves to cinematographic co-productions as a whole; Considering that the adoption of common rules tends to decrease restrictions and encourage co-operation in the field of cinematographic co-production; Considering the technological, economic and financial evolution of the film industry since the opening for signature of the European Convention on Cinematographic Co-production (ETS No. 147) in 1992; Believing that this development necessitates a revision of the 1992 Convention in order to ensure the continued relevance and effectiveness of this framework for cinematographic coproduction; Acknowledging that the present Convention is intended to replace the European Convention on Cinematographic Co-production, Have agreed as follows: Chapter I General provisions Article 1 Aim of the Convention The Parties to this Convention undertake to promote the development of international cinematographic co-production in accordance with the following provisions. Article 2 Scope 1. This Convention shall govern relations between the Parties in the field of multilateral coproductions originating in the territory of the Parties. 2. This Convention shall apply: a) to co-productions involving at least three co-producers, established in three different Parties to the Convention; and b) to co-productions involving at least three co-producers established in three different Parties to the Convention and one or more co-producers that are not established in such Parties. The total contribution of the co-producers who are not established in the Parties to the Convention may not, however, exceed 30% of the total cost of the production. In all cases, this Convention shall only apply on condition that the work meets the definition of an officially co-produced cinematographic work as defined in Article 3, sub-paragraph c, below. 3. The provisions of bilateral agreements concluded between the Parties to this Convention shall continue to apply to bilateral co-productions. In the case of multilateral co-productions, the provisions of this Convention shall override those of bilateral agreements between Parties to the Convention. The provisions concerning bilateral co-productions shall remain in force if they do not contravene the provisions of this Convention. 4. In the absence of any agreement governing bilateral co-production relations between two Parties to this Convention, the Convention shall also apply to bilateral co-productions, unless a reservation has been made by one of the Parties involved under the terms of Article 22. Article 3 Definitions For the purposes of this Convention: a) the term “cinematographic work” shall mean a work of any length or medium, in particular cinematographic works of fiction, animation and documentaries, which complies with the provisions governing the film industry in force in each of the Parties concerned and is intended to be shown in cinemas; b) the term “co-producers” shall mean cinematographic production companies or producers established in the Parties to this Convention and bound by a co-production contract; c) the term “officially co-produced cinematographic work” (hereafter “the film”) shall mean a cinematographic work which meets the conditions laid down in Appendix II, which is an integral part of this Convention; d) the term “multilateral co-production” shall mean a cinematographic work produced by at least three co-producers as defined in Article 2, paragraph 2, above. Chapter II Rules applicable to co-productions Article 4 Assimilation to national films 1. Cinematographic works made as multilateral co-productions and falling within the scope of this Convention shall be entitled to the benefits granted to national films by the legislative and regulatory provisions in force in each of the Parties to this Convention participating in the coproduction concerned. 2. The benefits shall be granted to each co-producer by the Party in which the co-producer is established, under the conditions and limits provided for by the legislative and regulatory provisions in force in that Party and in accordance with the provisions of this Convention. Article 5 Conditions for obtaining co-production status 1. Any co-production of cinematographic works shall be subject to the approval of the competent authorities of the Parties in which the co-producers are established, after consultation between the competent authorities and in accordance with the procedures laid down in Appendix I. This appendix shall form an integral part of this Convention. 2. Applications for co-production status shall be submitted for approval to the competent authorities according to the application procedure laid down in Appendix I. This approval shall be final except in the case of failure to comply with the initial undertakings concerning artistic, financial or technical matters. 3. Projects of a blatantly pornographic nature or those that advocate discrimination, hate or violence or openly offend human dignity cannot be accorded co-production status. 4. The benefits provided by co-production status shall be granted to co-producers who are deemed to possess adequate technical and financial means, and sufficient professional qualifications. 5. Each Contracting State shall designate the competent authorities mentioned in paragraph 2 above by means of a declaration made at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession. This declaration may be modified at any time afterwards. Article 6 Proportions of contributions from each co-producer 1. In the case of multilateral co-production, the minimum contribution may not be less than 5% and the maximum contribution may not exceed 80% of the total production cost of the cinematographic work. When the minimum contribution is less than 20% or the co-production is financial only, the Party concerned may take steps to reduce or bar access to national production support schemes. 2. When this Convention takes the place of a bilateral agreement between two Parties under the provisions of Article 2, paragraph 4, the minimum contribution may not be less than 10% and the largest contribution may not exceed 90% of the total production cost of the cinematographic work. When the minimum contribution is less than 20% or the co-production is financial only, the Party concerned may take steps to reduce or bar access to national production support schemes. Article 7 Rights of co-producers to the cinematographic work 1. The co-production contract must guarantee to each co-producer joint ownership of the tangible and intangible property rights of the film. The contract shall include the provision that the film master (first completed version) shall be kept in a place mutually agreed by the coproducers, and shall guarantee them free access to it. 2. The co-production contract must also guarantee to each co-producer the right to access the material and the film master for use as a medium of duplication. Article 8 Technical and artistic participation 1. The contribution of each of the co-producers shall include effective technical and artistic participation. In principle, and in accordance with international obligations binding the Parties, the contribution of the co-producers relating to creative, technical and artistic personnel, cast and facilities, must be proportional to their investment. 2. Subject to the international obligations binding the Parties and to the demands of the screenplay, the crew involved in filming the work must be made up of nationals of the States which are partners in the co-production, and post-production shall normally be carried out in those States. Article 9 Financial co-productions 1. Notwithstanding the provisions of Article 8, and subject to the specific conditions and limits laid down in the laws and regulations in force in the Parties, co-productions may be granted co-production status under the provisions of this Convention if they meet the following conditions: a) include one or more minority contributions which may be financial only, in accordance with the co-production contract, provided that each national share is neither less than 10% nor more than 25% of the production costs; b) include a majority co-producer who makes an effective technical and artistic contribution and satisfies the conditions for the cinematographic work to be recognised as a national work in his or her country; c) help to promote cultural diversity and intercultural dialogue; and d) are embodied in co-production contracts which include provisions for the distribution of receipts. 2. Financial co-productions shall only qualify for co-production status once the competent authorities have given their approval in each individual case, in particular taking into account the provisions of Article 10 below. Article 10 General balance 1. A general balance must be maintained in the cinematographic relations of the Parties, with regard both to the total amount invested and the artistic and technical participation in coproduction cinematographic works. 2. A Party which, over a reasonable period, observes a deficit in its co-production relations with one or more other Parties may withhold its approval of a subsequent co-production until balanced cinematographic relations with that or those Parties have been restored. Article 11 Entry and residence In accordance with the laws and regulations and international obligations in force, each Party shall facilitate entry and residence, as well as the granting of work permits in its territory, of technical and artistic personnel from other Parties participating in a co-production. Similarly, each Party shall permit the temporary import and re-export of equipment necessary to the production and distribution of cinematographic works falling within the scope of this Convention. Article 12 Credits of co-producing countries 1. Co-producing countries shall be credited in co-produced cinematographic works. 2. The names of these countries shall be clearly mentioned in the credit titles, in all publicity and promotion material and when the cinematographic works are being shown. Article 13 Export When a co-produced cinematographic work is exported to a country where imports of cinematographic works are subject to quotas and one of the co-producing Parties does not have the right of free entry for its cinematographic works to the importing country: a) the cinematographic work shall normally be added to the quota of the country which has the majority participation; b) in the case of a cinematographic work which comprises an equal participation from different countries, the cinematographic work shall be added to the quota of the country which has the best opportunities for exporting to the importing country; c) when the provisions of sub-paragraphs a and b above cannot be applied, the cinematographic work shall be entered in the quota of the Party which provides the director. Article 14 Languages When according co-production status, the competent authority of a Party may demand from the co-producer established therein a final version of the cinematographic work in one of the languages of that Party. Article 15 Festivals Unless the co-producers decide otherwise, co-produced cinematographic works shall be shown at international festivals by the Party where the majority co-producer is established, or, in the case of equal financial participation, by the Party which provides the director. Chapter III Final provisions Article 16 Effects of the Convention 1. This Convention shall replace, as regards its States Parties, the European Convention on Cinematographic Co-production, which was opened for signature on 2 October 1992. 2. In relations between a Party to the present Convention and a Party to the 1992 Convention which has not ratified the present Convention, the 1992 Convention shall continue to apply. Article 17 Follow-up of the Convention and amendments to Appendices I and II 1. The Board of Management of the European Support Fund for the Co-production and Distribution of Creative Cinematographic and Audiovisual Works “Eurimages” shall be responsible for the follow-up of this Convention. 2. Any Party to this Convention which is not a member of “Eurimages” may be represented and have one vote in the Board of Management of “Eurimages” when the Board carries out the tasks assigned to it by this Convention. 3. In order to promote the effective application of the Convention, the Board of Management of “Eurimages” may: a) make proposals to facilitate the exchange between Parties of experience and good practice; b) formulate its opinion on any question concerning the application and the implementation of this Convention and make specific recommendations to Parties in this respect. 4. In order to update the provisions of Appendices I and II of this Convention to ensure their continuing relevance to common practices in the cinematographic industry, amendments may be proposed by any Party, by the Committee of Ministers or by the Board of Management of the European Support Fund for the Co-production and Distribution of Creative Cinematographic and Audiovisual Works “Eurimages”. They shall be communicated by the Secretary General of the Council of Europe to the Parties. 5. After having consulted the Parties, the Committee of Ministers may adopt an amendment proposed in accordance with paragraph 4 by the majority provided for in Article 20.d, of the Statute of the Council of Europe. The amendment shall enter into force following the expiry of a period of one year after the date on which it has been forwarded to the Parties. During this period, any Party may notify the Secretary General of any objection to the entry into force of the amendment in its respect. 6. If one third of the Parties notifies the Secretary General of the Council of Europe of an objection to the entry into force of the amendment, the amendment shall not enter into force. 7. If less than one third of the Parties notifies an objection, the amendment shall enter into force for those Parties which have not notified an objection. 8. Once an amendment has entered into force in accordance with paragraphs 5 and 7 of this article and a Party has notified an objection to it, this amendment shall come into force in respect of the Party concerned on the first day of the month following the date on which the Party has notified the Secretary General of the Council of Europe of its acceptance of the amendment. A Party which has made an objection may withdraw it at any time by notifying the Secretary General of the Council of Europe. 9. If the Committee of Ministers adopts an amendment, a State or the European Union may not express its consent to be bound by the Convention without accepting at the same time the amendment. Article 18 Signature, ratification, acceptance, approval 1. This Convention shall be open for signature by the member States of the Council ofEurope and the other States Parties to the European Cultural Convention which may express their consent to be bound by: a) signature without reservation as to ratification, acceptance or approval; or b) signature subject to ratification, acceptance or approval, followed by ratification, acceptance or approval. 2. Instruments of ratification, acceptance or approval shall be deposited with the Secretary General of the Council of Europe. Article 19 Entry into force 1. The Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date on which three States, including at least two member States of the Council of Europe, have expressed their consent to be bound by the Convention in accordance with the provisions of Article 18. 2. In respect of any signatory State which subsequently expresses its consent to be bound by it, the Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of signature or of the deposit of the instrument of ratification, acceptance or approval. Article 20 Accession of non-member States 1. After the entry into force of this Convention, the Committee of Ministers of the Council of Europe may, after consultation of the Parties, invite any State not a member of the Council of Europe, as well as the European Union, to accede to this Convention, by a decision taken by the majority provided for in Article 20.d, of the Statute of the Council of Europe, and by the unanimous vote of the representatives of the Contracting States entitled to sit on the Committee of Ministers. 2. In respect of any acceding State or of the European Union, in the event of its accession, the Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of deposit of the instrument of accession with the Secretary General of the Council of Europe. Article 21 Territorial clause 1. Any State may, at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession, specify the territory or territories to which this Convention shall apply. 2. Any Party may, at any later date, by a declaration addressed to the Secretary General of the Council of Europe, extend the application of this Convention to any other territory specified in the declaration. In respect of such territory, the Convention shall enter into force on the first day of the month following the expiration of a period of three months after the date of receipt of the declaration by the Secretary General. 3. Any declaration made under the two preceding paragraphs may, in respect of any territory specified in such a declaration, be withdrawn by a notification addressed to the Secretary General. The withdrawal shall become effective on the first day of the month following the expiration of a period of three months after the date of receipt of such notification by the Secretary General. Article 22 Reservations 1. Any State may, at the time of signature or when depositing its instrument of ratification, acceptance, approval or accession, declare that Article 2, paragraph 4, does not apply to its bilateral co-production relations with one or more Parties. Moreover, it may reserve the right to fix a maximum participation share different from that laid down in Article 9, paragraph 1.a. No other reservation may be made. 2. Any Party which has made a reservation under the preceding paragraph may wholly or partly withdraw it by means of a notification addressed to the Secretary General of the Council of Europe. The withdrawal shall take effect on the date of receipt of such notification by the Secretary General. Article 23 Denunciation 1. Any Party may, at any time, denounce this Convention by means of a notification addressed to the Secretary General of the Council of Europe. 2. Such denunciation shall become effective on the first day of the month following the expiration of a period of six months after the date of receipt of the notification by the Secretary General. Article 24 Notifications The Secretary General of the Council of Europe shall notify the member States of the Council of Europe, as well as the European Union and any State which has acceded to this Convention or has been invited to do so, of: a) any signature; b) the deposit of any instrument of ratification, acceptance, approval or accession; c) any date of entry into force of this Convention in accordance with Articles 19, 20 and 21; d) any reservation and withdrawal of reservation made in pursuance of Article 22; e) any declaration made in accordance with Article 5, paragraph 5; f) any denunciation notified in accordance with Article 23; g) any other act, notification or communication relating to this Convention. In witness whereof the undersigned, being duly authorised thereto, have signed this Convention. Done at Rotterdam, this 30th day of January 2017, in English and French, both texts being equally authentic, in a single copy which shall be deposited in the archives of the Council of Europe. The Secretary General of the Council of Europe shall transmit certified copies to the States mentioned in Article 18, paragraph 1, as well as to the European Union and any State which has been invited to accede to this Convention. Appendix I – Application procedure In order to benefit from the provisions of this Convention, the co-producers established in the Parties must, in due time before principal photography or principal animation commences, submit an application for provisional co production status and attach the documents listed below. These documents must reach the competent authorities in sufficient number for them to be communicated to the authorities of the other Parties at the latest one month before shooting commences: - a declaration of the situation of the authors’ rights; - a synopsis of the film; - a provisional list of the technical and artistic contributions from each of the countries involved; - a budget and a provisional financing plan; - a provisional production schedule; - the co-production contract or a short-form agreement (“deal memo”) made between the co-producers. This document must include clauses providing for the distribution of receipts or territories between the co-producers. Final co-production status is granted on completion of the film and after examination of the following definitive production documents by the national authorities: - a complete chain of title; - a final script; - a definitive list of the technical and artistic contributions from each of the countries involved; - a final cost report; - a definitive financing plan; - the co-production contract made between the co-producers. This contract must include clauses providing for the distribution of receipts or territories between the co-producers. National authorities can request any other document necessary for the evaluation of the application in accordance with national legislation. The application and other documents shall be presented, if possible, in the language of the competent authorities to which they are submitted. The competent national authorities shall send each other the application and attached documentation once they have been received. The competent authority of the Party with the minority financial participation shall not give its approval until the opinion of the Party with the majority financial participation has been received. Appendix II – Definition of a qualifying cinematographic work 1. A cinematographic work of fiction qualifies as an official co-production in the sense of Article 3, sub-paragraph c, if with regard to the elements originating in the States Parties to the Convention, it obtains at least 16 points out of a possible total of 21, according to the list of elements set out below. 2. Having regard to the characteristics of the co-production, the competent authorities may, after consulting each other, grant co-production status to a work with a number of points that is less than the normally required 16 points. |
